These Terms of Service (“Terms”) govern your access to and use of the Chainrails platform, APIs, SDKs, payment infrastructure, fiat and crypto routing services, websites, hosted checkout flows, payment links, and related services (collectively, the “Services”) provided by Chainrails (“Chainrails,” “we,” “our,” or “us”).

By accessing or using the Services, you agree to be bound by these Terms.

1. Eligibility

You must be at least 18 years old and capable of forming a legally binding agreement to use the Services.

If you are using the Services on behalf of a company, organization, or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms.

2. Description of Services

Chainrails provides infrastructure for facilitating deposits, withdrawals, routing, settlement, and liquidity orchestration across blockchain networks, stablecoin rails, and fiat payment providers.

Services may include:

• Cross-chain deposit and withdrawal infrastructure
• Fiat onramp and offramp aggregation
• Hosted payment flows and payment links
• Stablecoin settlement and routing infrastructure
• APIs, SDKs, dashboards, and developer tooling
• Transaction monitoring and orchestration services
• Embedded payment experiences

Chainrails does not guarantee availability of any particular blockchain network, fiat provider, payment rail, or settlement path.

3. Non-Custodial Nature of Services

Unless explicitly stated otherwise in writing, Chainrails operates as a non-custodial infrastructure and orchestration layer.

Chainrails does not:

• hold customer deposits on behalf of users,
• operate as a bank,
• provide escrow services,
• guarantee asset values,
• or provide investment services.

Certain fiat and crypto services may be facilitated through third-party providers, including licensed payment processors, onramp providers, exchanges, and bridge infrastructure.

Your use of those third-party services may also be subject to their own terms, privacy policies, and compliance requirements.

4. Account Registration

Certain Services may require account creation.

You agree to:

• provide accurate and complete information,
• maintain the security of your credentials,
• promptly update information where necessary,
• and accept responsibility for activities occurring under your account.

You are responsible for safeguarding API keys, private credentials, and authentication tokens.

5. Payment Links and Merchant Use

Chainrails may allow users or businesses to generate payment links for receiving crypto or fiat payments.

You agree not to use payment links or the Services for:

• illegal goods or services,
• fraud,
• money laundering,
• sanctions evasion,
• deceptive business practices,
• unauthorized financial services,
• or any activity prohibited under applicable law.

Chainrails reserves the right to suspend or disable payment links, accounts, or transactions suspected of abuse, fraud, or compliance violations.

6. Fees

Fees for use of the Services may include:

• protocol fees,
• routing fees,
• bridge fees,
• network gas fees,
• fiat processing fees,
• or third-party provider fees.

Applicable fees may be displayed before transaction execution where possible.

Fees may vary depending on:

• transaction size,
• supported rails,
• selected providers,
• blockchain networks,
• currency corridors,
• or routing complexity.

Chainrails reserves the right to modify fees at any time.

7. Transaction Finality and Risk

Blockchain and fiat settlement systems involve inherent risks.

You acknowledge and agree that:

• blockchain transactions may be irreversible,
• settlement times may vary,
• network congestion may occur,
• providers may experience downtime,
• stablecoins and digital assets may fluctuate in value,
• and transactions may fail due to technical, liquidity, or compliance-related reasons.

Chainrails does not guarantee:

• uninterrupted service,
• instant settlement,
• specific routing paths,
• or guaranteed transaction completion.

Where possible, Chainrails may attempt refunds or reversals for failed transactions, but refunds are not guaranteed in all circumstances.

8. Compliance and Regulatory Requirements

You agree to comply with all applicable laws, regulations, sanctions programs, and financial compliance requirements in your jurisdiction.

Chainrails and its partners may require:

• KYC (Know Your Customer),
• KYB (Know Your Business),
• AML screening,
• sanctions screening,
• or transaction monitoring.

Chainrails reserves the right to:

• reject transactions,
• restrict jurisdictions,
• suspend accounts,
• or request additional verification.

9. Prohibited Activities

You may not use the Services for:

• unlawful activities,
• terrorism financing,
• sanctions evasion,
• money laundering,
• fraudulent schemes,
• deceptive conduct,
• phishing,
• unauthorized securities activity,
• harmful software distribution,
• or any activity that may expose Chainrails to legal or regulatory liability.

You may not:

• interfere with the integrity or performance of the Services,
• attempt unauthorized access,
• reverse engineer the platform,
• abuse APIs,
• or bypass rate limits or security controls.

10. Third-Party Services

Chainrails may integrate with third-party providers including:

• fiat payment providers,
• onramp/offramp services,
• blockchain bridges,
• exchanges,
• liquidity providers,
• analytics providers,
• and wallet infrastructure.

Chainrails is not responsible for the availability, accuracy, legality, or performance of third-party services.

Your interactions with third-party providers are solely between you and those providers.

11. Intellectual Property

All intellectual property rights in the Services, including software, branding, APIs, documentation, and website content, are owned by Chainrails or its licensors.

You may not:

• copy,
• distribute,
• modify,
• sublicense,
• or exploit the Services except as expressly permitted.

Chainrails grants you a limited, revocable, non-exclusive license to use the Services in accordance with these Terms.

12. API Usage

If you use Chainrails APIs or SDKs:

• you must comply with applicable documentation and rate limits,
• you may not abuse or overload infrastructure,
• and you remain responsible for applications built using the Services.

Chainrails may suspend or revoke API access at its discretion.

13. Privacy

Your use of the Services is also governed by the Chainrails Privacy Policy.

14. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CHAINRAILS DISCLAIMS ALL WARRANTIES, INCLUDING:

• MERCHANTABILITY,
• FITNESS FOR A PARTICULAR PURPOSE,
• NON-INFRINGEMENT,
• AND UNINTERRUPTED OR ERROR-FREE OPERATION.

Chainrails does not provide legal, financial, tax, or investment advice.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CHAINRAILS SHALL NOT BE LIABLE FOR:

• INDIRECT,
• INCIDENTAL,
• SPECIAL,
• CONSEQUENTIAL,
• OR PUNITIVE DAMAGES,

INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY.

Chainrails’ aggregate liability under these Terms shall not exceed the greater of:

• the fees paid to Chainrails in the preceding 3 months, or
• USD $100.

16. Indemnification

You agree to indemnify and hold harmless Chainrails and its affiliates, officers, employees, and partners from claims, liabilities, damages, losses, and expenses arising from:

• your use of the Services,
• your violation of these Terms,
• or your violation of applicable law.

17. Suspension and Termination

Chainrails may suspend or terminate access to the Services at any time for:

• suspected fraud,
• security concerns,
• compliance risks,
• abuse of the Services,
• or violation of these Terms.

You may stop using the Services at any time.

18. Modifications to the Services

Chainrails reserves the right to modify, discontinue, or update the Services at any time.

We may also modify these Terms periodically. Continued use of the Services after updates constitutes acceptance of the revised Terms.

19. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles.
